Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 31, 2020, the Board of Directors elected Theodore H. Bunting, Jr. to the Board of Directors of The Hanover Insurance Group, Inc. (the “Company”), effective on September 1, 2020.  Mr. Bunting, 61, most recently served as group president, utility operations, at Entergy Corporation, an integrated energy company, from 2012 until his retirement in 2017. Before that, he was senior vice president and chief accounting officer at Entergy from 2007 to 2012, and chief financial officer of several subsidiaries from 2000 to 2007. He held other management positions of increasing responsibility in accounting and operations at Entergy since joining the company in 1983. Mr. Bunting is also a director of Unum Group, a publicly traded insurance company providing group long-term disability insurance, employee benefits, individual disability insurance and special risk reinsurance, and of NiSource Inc., one of the largest natural gas utility companies in the United States.

To balance our classes of directors, Mr. Bunting will serve in the class of directors whose term expires at the Company’s 2022 annual meeting of shareholders.

Mr. Bunting will receive the same compensation for his service on the Company’s Board of Directors as the Company’s other non-employee directors, as described in Exhibit 10.1 to the Company’s Quarterly Report on Form 10-Q that was filed with the Securities and Exchange Commission on August 1, 2019, but pro-rated to reflect that he was appointed mid-term.
