Departure of Directors or certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 11, 2013, Dawn K. Smajstrla, resigned from her position as Vice President, Controller and Principal Accounting Officer of Goodrich Petroleum Corporation. Ms. Smajstrla has accepted a position with another company and her resignation is effective as of December 27, 2013.

Jan L. Schott, the Company’s Chief Financial Officer, will also assume the role of Principal Accounting Officer of Goodrich Petroleum Corporation.
