Ladies and Gentlemen:

On behalf of Dave & Buster’s, Inc., a Missouri corporation (the "Company"), we are submitting this letter in response to your comment letter dated February 23, 2005, which was addressed to the Chief Financial Officer of the Company. The Company and its auditors are currently investigating certain matters related to the comments raised by the Staff’s February 23 letter; however the Company does not believe that it will be prepared to respond to all of the supplemental info rmation requested within the 15 business day period noted in the Staff’s letter. Therefore, the Company is requesting an extension to this time period so that it can complete its internal review. Accordingly, the Company requests that it be permitted to submit all appropriate responses electronically no later than Thursday, March 31, 2005.
