News Release

Outerwall Inc. Announces Offering of $300 Million Senior Unsecured Notes

BELLEVUE, Washington — June 2, 2014 — Outerwall Inc. (Nasdaq: OUTR) today announced that it intends to privately offer $300 million in aggregate principal amount of senior unsecured notes due 2021 (the “Notes”). Outerwall intends to use the proceeds from the offering to repay existing indebtedness under its credit facility, but may reserve a portion of the proceeds for general corporate purposes, which may include but are not limited to maintenance or repayment of other outstanding indebtedness, acquisitions or other investments, and the payment of other corporate expenses.

The Notes will be offered to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to non-U.S. persons outside the United States pursuant to Regulation S under the Securities Act.

The Notes have not been registered under the Securities Act or any state or other jurisdiction’s securities laws. Accordingly, the Notes may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements under the Securities Act and any applicable state or other jurisdiction’s securities laws.
