| Item 2.02 | Results of Operations and Financial Condition. |
On June 20, 2024, Darden Restaurants, Inc. (the Company) issued a news release entitled “Darden Restaurants Reports Fiscal 2024 Fourth Quarter and Full Year Results; Increases Quarterly Dividend; And Provides Fiscal 2025 Outlook,” a copy of which is furnished as Exhibit 99.1 to this Current Report on Form 8-K. In addition, the slide presentation accompanying the Company’s conference call will be posted on the Company’s website.

On June 18, 2024, the Board approved amendments (the “Amendments”) to the Bylaws of the Company (“the Bylaws”), effective immediately. The Amendments to the Bylaws revise references to the Chairman of the Board title to “Chair” and references to Committee Chairman titles to Committee “Chair” to make such references gender neutral and demonstrate inclusion.
