EXPLANATORY NOTE

 

Pursuant to General Instruction E to Form S-8 under the Securities Act of 1933, as amended, this Registration Statement is filed by PC Mall, Inc. (the “Registrant”) for the purpose of registering additional securities under the 1994 Stock Incentive Plan, as amended, of the Registrant, which are the same class as those registered under the currently effective Registration Statements on Form S-8 (Registration Nos. 333-000848, 333-76851, 333-38860, 333-66068, 333-105620, 333-120708, 333-133003, 333-141237, 333-149763 and 333-158002) relating to the 1994 Stock Incentive Plan, as amended, of the Registrant, and the contents of those Registration Statements, including any amendments thereto or filings incorporated therein, are incorporated herein by this reference.

 

The number of shares of common stock of the Registrant available for issuance under the 1994 Stock Incentive Plan, as amended, of the Registrant is subject to an automatic annual increase by an amount equal to three percent (3%) of the number of shares of the Registrant’s common stock outstanding as of December 31 of the immediately preceding calendar year (the “evergreen provision”).  This Registration Statement registers the 368,719 additional shares of common stock available for issuance pursuant to the evergreen provision for fiscal year 2010.

Item 6.        Indemnification of Directors and Officers.

 

The Registrant’s Certificate of Incorporation eliminates, to the fullest extent permissible under Delaware statutory or decisional law, as amended or interpreted, the personal liability of directors to the Registrant and its stockholders for monetary damages for breach of fiduciary duty as a director.  The Registrant’s Bylaws provide that the Registrant’s directors and officers are to be indemnified and held harmless by the Registrant to the fullest extent authorized by the Delaware General Corporation Law against all expenses, liability and loss incurred in their capacity as directors and officers of the Registrant.

 

The Registrant has entered into indemnification agreements with each of its current directors and executive officers that provide the maximum indemnity available to directors and officers under Section 145 of the Delaware General Corporation Law and the Registrant’s Certificate of Incorporation, as well as certain procedural protections. The Registrant also maintains a directors’ and officers’ liability insurance policy insuring its directors and officers.
