On January 13, 2015, Shire plc (“Shire”) published the presentation attached as Exhibit 99.1 hereto (the “Presentation”). The information in Slide 18 of the Presentation, which includes guidance on Shire’s product sales and earnings for 2014, is incorporated by reference herein. The information furnished pursuant to this Item 2.02, including Exhibit 99.1, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities under that Section and shall not be deemed to be incorporated by reference into any filing under the Securities Act of 1933 (the “Securities Act”) or the Exchange Act, except as expressly set forth by specific reference in such filing.
