Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On August 14, 2006, Enesco Group, Inc. issued a press release announcing the appointment of Roger A. Odell to its Board of Directors and to its Audit Committee. Mr. Odell's appointment became effective August 9, 2006.

There is no arrangement or understanding between Mr. Odell and any other person pursuant to which Mr. Odell was selected as a director of Enesco. There are no relationships or related party transactions required to be disclosed pursuant to Item 404(a) of Regulation S-K.

The press release announcing Mr. Odell's appointment is attached as Exhibit 99.1.
