On May 15, 2006, Enesco Group, Inc. (the “Company”) filed a Form 8-K under Items 1.01, 1.02, 2.02, 5.02 and 9.01 thereof to report, among other things, the execution of an Executive Separation Agreement, dated May 12, 2006, by and between the Company and Cynthia L. Passmore (the “Agreement”). A draft of the Agreement was inadvertently attached as Exhibit 99.1 to that Form 8-K. Attached to this Amendment No. 1 to Form 8-K as Exhibit 99.1 is the Agreement as executed by the Company and Ms. Passmore.
