 Item 7.01.  Regulation FD Disclosure.

     On December 13, 2004, Transaction Systems Architects, Inc. issued a press
release announcing that its Board of Directors has approved a stock repurchase
program authorizing the Company to acquire up to $80 million of its Class A
Common Stock. A copy of this press release is attached hereto as Exhibit 99.1
and is being furnished, not filed, under Item 7.01 of Form 8-K.
