Explanatory Note
This Current Report on Form 8-K/A (this “Amendment”) amends the Current Report on Form 8-K filed by Acacia Research Corporation (the “Company”) with the U.S. Securities and Exchange Commission on March 14, 2024 (the “Original Form 8-K”). The sole purpose of this Amendment is to remove Item 8.01, which was inadvertently included in the the Original Form 8-K.
Item 2.02.Results of Operations and Financial Condition.
On March 14, 2024, Acacia Research Corporation (the “Corporation) issued a press release announcing its financial results for the year ended December 31, 2023. A copy of that release is furnished as Exhibit 99.1 to this Current Report on Form 8-K (this “Report”).
The information contained within this Report and the exhibit attached hereto as Exhibit 99.1 are being furnished pursuant to Item 2.02 and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), or otherwise subject to the liabilities of that Section.
