Item 7.01 Regulation FD Disclosure
 
SMSC will present at the J.P. Morgan Global Technology, Media and Telecom Conference taking place tomorrow, May 18, 2010 at 4:30 PM ET at The Westin Waterfront Hotel in Boston, MA.  During its presentation, the Company intends to discuss its current market view including the fact that its quarter to date book-to-bill ratio has continued to be strong at approximately 1.5 during the first quarter of fiscal 2011, beginning March 1, 2010.  A slide containing additional details of SMSC's business outlook update is attached herein as Exhibit 99.1.  A live webcast will be available for SMSC's live conference discussion and can be accessed on the investor relations page of the Company's Web site at www.smsc.com.  Exhibit 99.1 attached hereto shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, regardless of any general incorporation language in such filing.
