Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On February 10, 2012, Jeffrey A. Powell resigned his position as Executive Vice President, Controller and Principal Accounting Officer of the Registrant, effective March 2, 2012. Mr. Powell also resigned his positions at the Registrant’s subsidiaries.

Mr. Powell has confirmed to the Registrant that his decision to resign was not due to any disagreement with the Registrant’s operations, accounting principles or practices, financial statement disclosures or otherwise.

Until a successor is appointed, Mr. Powell’s duties will be assumed by Anthony J. Restel, Senior Executive Vice President and Chief Financial Officer.
