Item 1.01 Entry into a Material Definitive Agreement.

On January 20, 2006, RSA Security Inc. and Flextronics International Marketing (L) Ltd. signed Amendment One (effective January 16, 2006 – the "Amendment") to the Manufacturing Agreement between the parties dated June 1, 1996. Flextronics is RSA Security’s manufacturer for its RSA SecurID® authenticators, and under the Amendment, Flextronics agrees to provide programming services with respect to the authenticators.
