Item 8.01 Other Events.

Between May 8 and May 14, 2007, certain officers of Stillwater Mining Company sold an aggregate of 172,421 shares of the Company's common stock in open market broker transactions. In May 2004, such persons had been granted performance-based shares of restricted common stock, all of which vested on May 6, 2007. The primary purpose of the recent sales was to cover the officers' tax liabilities upon such vesting. The sales took place in a trading window under the Company's insider trading policy. Further information regarding such sales, including the number of shares sold by each officer, is included in the officers' individual Form 4s filed with the Securities and Exchange Commission.
