On August 31, 2005, the Company granted 20,000 restricted shares under the Company's Long Term Incentive Plan, which vested in thirds on August 31, 2006, August 31, 2007, and August 31, 2008.  2,164 of the 6,666 shares that vested on August 31, 2008 were withheld to cover withholding taxes due upon vesting.  The holdings are net of shares previously withheld or sold, under a Rule 10b5-1 trading plan, to cover withholding taxes.</footnote>
