Hall Wendel Jr. (the "Schedule 13D") with respect to the common stock, $.01 par value, of Polaris Industries Inc. (the "Common Stock") to the extent of the matter set forth herein, and only changes from the Schedule 13-D are included herein. Unless otherwise defined herein, all capitalized terms used but not defined herein shall have the respective meanings set forth in the Schedule 13D. Item 4. Purpose of Transaction. Item 4 of the Schedule 13D is amended to add the following: As of November 5, 1998, Mr. Wendel is the beneficial owner of less than five percent of the Common Stock and therefore intends to make no further filings pursuant to Rule 13d-1 promulgated under the Securities Exchange Act of 1934 until such time as Mr. Wendel's ownership of the Common Stock rises to a level above five percent of the outstanding Common Stock. Item 5. Interest in Securities of the Issuer. Item 5 of the Schedule 13D is amended to read in its entirety as follows: (a) The reporting person beneficially owns 967,803 shares of Common Stock, including 40,500 shares of Common Stock subject to stock options granted by the Issuer which will expire on May 10, 2005, representing 3.77% of the outstanding shares of Common Stock of the Issuer. The reporting person disclaims beneficial ownership of the 150,000 shares of Common Stock held by the Foundation. (b) The reporting person has sole voting and dispositive power for 967,803 of the shares of Common Stock described in Item 5(a) above.
