This Post-Effective Amendment No. 123 to the Registrant’s Registration Statement on Form N-1A is being filed pursuant to paragraph (b)(1)(iii) of Rule 485 of the Securities Act of 1933, as amended (the “1933 Act”), solely for the purpose of delaying, until February 18, 2011, the effectiveness of the registration statement for the iShares MSCI Emerging Markets Small Cap Index Fund (the “Fund”), filed in Post-Effective Amendment No. 112 on April 27, 2010, pursuant to paragraph (a) of Rule 485 of the 1933 Act. The effectiveness of the Registration Statement of the Fund was delayed in Post-Effective Amendment No. 114 on July 9, 2010, in Post-Effective Amendment No. 115 on August 6, 2010, in Post-Effective Amendment No. 116 on September 2, 2010, in Post-Effective Amendment No. 117 on September 30, 2010, in Post-Ef fective Amendment No. 118 on October 28, 2010, in Post-Effective Amendment No. 119 on November 24, 2010 and in Post-Effective Amendment No. 121 on December 22, 2010, each pursuant to paragraph (b)(1)(iii) of Rule 485 of the 1933 Act.

This Post-Effective Amendment No. 123 incorporates by reference the information contained in Parts A, B and C of Post-Effective Amendment No. 112.
