        <footnote id="F2">Mr. Rechler holds 159,288 shares of Class A common stock directly.  It was previously reported on a
Form 4 filed on March 17, 2003 that Mr. Rechler held 289,496 shares directly, 138,889 shares of
which were granted pursuant to the Company's LTIP. Prusuant to a Transition Agreement (the
&quot;Transition Agreement&quot;) among Mr. Rechler, the Company and Reckson Operating Partnership, L.P.,
and as a result of Mr. Rechler's termination from the Company, 6.25% of such 138,889 shares vested
on  November 10, 2003, 18.75% shall vest on March 13, 2004 and the remaining 104,167 were
forfeited.</footnote>

        <footnote id="F4">Pursuant to the Transition Agreement, and as a result of Mr. Rechler's termination from the Company,
the Company made a cash payment to Mr.  Rechler in full  satisfaction  of the Company's  obligations

rights was previously reported on Mr. Rechler's 2002 Form 5.)</footnote>
