                             GENERAL INSTRUCTIONS


1. This form is required by Rule 12b-25 (17 CFR 240.12b-25) of the General

   Rules and Regulations under the Securities Exchange Act of 1934.


2. One signed original and four conformed copies of this form and amendments

   thereto must be completed and filed with the Securities and Exchange

   Commission, Washington, D.C. 20549, in accordance with Rule O-3 of the

   General Rules and Regulations under the Act. The information contained in

   or filed with the form will be made a matter of public record in the

   Commission files.


3. A manually signed copy of the form and amendments thereto shall be filed

   with each national securities exchange on which any class of securities of

   the registrant is registered.

    ADDENDUM IV(3)


    The Company anticipates that its results of operations for the year

ended September 30, 2002 will reflect a net loss of $3,728,797*, as compared to net loss of $2,360,995 recorded for the year ended September 30, 2001. The increase in net loss resulted from a decline in net sales of $5,206,153 in fiscal 2001 to $2,618,903 in fiscal 2002 and an increase in interest expense from $168,801 in fiscal 2001 to $1,283,592 in fiscal 2002 that was directly related to the amortization of debt discount related to the note payable to the Company’s Series A Preferred stockholders.
