N-SAR, or the transition report or portion thereof could not be filed within the
prescribed time period.

         RFP Express Inc. is unable to timely file its Form 10-QSB for the
         quarter ending September 30, 2002 because of unavoidable delays in the
         preparation of the filing caused by the illness of the Company's
         controller, and cannot do so without unreasonable effort and expense.
         The Company expects to file its Form 10-QSB within the time period
         prescribed by Rule 12b-25.
