DEREGISTRATION OF SECURITIES
     On October 23, 2006, First Mercury Financial Corporation, a Delaware corporation (the “Registrant”), filed with the Securities and Exchange Commission a registration statement on Form S-8, Registration No. 333-138153 (the “Registration Statement”), registering 1,500,000 shares of the Registrant’s common stock (the “Shares”), issuable pursuant to the First Mercury Financial Corporation Omnibus Incentive Plan of 2006. This Post-Effective Amendment No. 1 is being filed to remove from registration the Shares that remain unsold as of the date hereof.
