     On July 23, 2003,  PVF Capital Corp.  (the  "Company")  announced  that the
Company's Board of Directors  declared a dividend of 10% of the Company's common
shares on June 24, 2003.  This share  dividend will be issued on the 29th day of
August,  2003,  to the  holders of shares of record at the close of  business on
August 15, 2003.

     Further  information  regarding  the  dividend  is set  forth in the  press
release dated July 23, 2003,  which is attached as Exhibit 99.1 and incorporated
herein by reference.

          PVF CAPITAL CORP. ANNOUNCES STOCK DIVIDEND AND ANNUAL MEETING


Chairman John R. Male announced that the Board of Directors of PVF Capital Corp.
declared a dividend of 10% of the common shares of PVF Capital Corp. on June 24,
2003. This share dividend will be issued on the 29th day of August, 2003, to the
holders of shares of record at the close of business on August 15, 2003.

The 2003  Annual  Meeting of  Stockholders  will be held on October  20, 2003 at
