ITEM 8.01      OTHER EVENTS

On May 4, 2009, Trinity Springs, Inc. ("TSI"), a wholly-owned subsidiary of
AMCON Distributing Company, and Crystal Paradise Holdings, Inc.,(aka Trinity
Springs, LTD, ("CPH")) closed the previously announced exchange of TSI's
operating assets for the note held by CPH.
