In accordance with the terms of the Management Agreement, the shares were valued at the average of the closing prices per share of the Issuer's common stock on the New York Stock Exchange over the 30 day period ending three days prior to the issuance of such shares.</footnote>
        <footnote id="F2">Mr. Peltz disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.</footnote>
        <footnote id="F3">1,000,000 of such shares are owned by Triarc Deerfield Holdings, LLC, a subsidiary of Triarc Companies, Inc. (Triarc) and the remainder are shares held by DCM, an indirect subsidiary of Triarc.  Mr. Peltz is an officer, director and significant stockholder of Triarc.</footnote>
