INTRODUCTORY STATEMENT
Pursuant to the terms of the Indenture, dated as of February 14, 2008, among Flotek Industries, Inc. (the Company), the guarantors signatory thereto and American Stock Transfer & Trust Company, as trustee (the Trustee) as amended and supplemented by the First Supplemental Indenture thereto, dated as of February 14, 2008, among the Company, the guarantors signatory thereto and the Trustee, relating to the Companys 5.25% Convertible Senior Notes due 2028 (the Notes), this Tender Offer Statement on Schedule TO (this Schedule TO) is filed by the Company in connection with its offer to purchase (the Tender Offer) to each holder (a Holder) of the Notes, as set forth in the Companys Offer to Purchase for Cash Any and All Outstanding 5.25% Convertible Senior Notes due 2028, dated January 11, 2013, as amended and supplemented by the First Supplement thereto, dated January 23, 2013, (the Offer to Purchase) and the related Letter of Transmittal, each filed as an exhibit to this Schedule TO.
This Schedule TO is intended to satisfy the disclosure requirements of Rule 13e-4(c)(2) under the Securities Exchange Act of 1934, as amended (the Exchange Act).

Item 10. Financial Statements.
Pursuant to Instruction 2 to Item 10 of Schedule TO, the Companys financial condition is not material to a Holders decision whether to tender its Notes because (i) the consideration being paid to Holders consists solely of cash, (ii) the Tender Offer is not subject to any financing conditions, (iii) the Tender Offer applies to all outstanding Notes and (iv) the Company is a reporting company under Section 13(a) of the Exchange Act that files reports electronically on EDGAR. The financial condition and results of operations of the Company and its subsidiaries are reported electronically on EDGAR on a consolidated basis.
