Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 20, 2021, Callon Petroleum Company (the “Company”) filed a Current Report on Form 8-K (the “Initial 8-K”) disclosing that on December 20, 2021, the Board of Directors (the “Board”) of the Company had appointed Mary Shafer-Malicki to serve as a director of the Company effective January 1, 2022.
This Amendment No. 1 to the Initial 8-K is being filed to disclose that, on January 19, 2022, the Board appointed Ms. Shafer-Malicki, a Class I Director, to its Audit Committee and its Operations & Reserves Committee, in each case effective as of such date. Other than providing this additional information in Item 5.02, no other disclosure in the Initial 8-K is amended by this Form 8-K/A.
