(the “Company”) filed its Annual Report on Form 10-K for the year ended December 31, 2017 (the “Annual Report”) on May 23, 2018, after it was due, as a result of needing more time to resolve the accounting and tax treatment, and related disclosure, regarding certain income tax related matters.
