PART III — NARRATIVE

Spanish Broadcasting System, Inc. (the “Company”) is filing this Form 12b-25 with the Securities and Exchange Commission because additional time is needed for the Company to complete its Annual Report on Form 10-K for the fiscal year ended December 31, 2016 (the “Form 10-K”), which is due on March 31, 2017.

The Company is unable to file its Form 10-K prior to the filing deadline without unreasonable effort or expense due to its needing more time to analyze and complete the disclosures regarding its 12.5% Senior Secured Notes due 2017, which mature on April 15, 2017, and related matters.  The Company expects to file the Form 10-K no later than the fifteenth calendar day (or since the fifteenth calendar day falls on a Saturday, the next business day after the fifteenth calendar day) following the required filing date, as permitted by Rule 12b-25.
