Item 8.01. Other Events.
On February 24, 2021, DaVita Inc. (the “Company”) issued a press release, made pursuant to Rule 135c promulgated under the Securities Act of 1933, as amended, announcing the upsize and pricing of its previously announced private add-on offering of $750 million aggregate principal amount of the Company’s 4.625% Senior Notes due June 1, 2030 (the “Notes”). The principal amount of the Notes offering was increased from $750 million to $1 billion, and the Notes will be issued at an offering price of 101.750% of their face amount (plus accrued interest from December 1, 2020). The Notes offering is expected to close on February 26, 2021, subject to satisfaction of customary closing conditions. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
