Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On April 11, 2024, Apartment Income REIT Corp., a Maryland corporation (the “Company”), filed with the Maryland State Department of Assessments and Taxation a certificate of correction (the “Certificate of Correction”) to the Company’s Articles of Amendment and Restatement, effective as of September 21, 2023 (as amended, the “Company Charter”), clarifying the incorporation of the terms of the Company’s Class A Preferred Stock into the Company Charter.

The foregoing description of the Certificate of Correction is only a summary, does not purport to be complete and is qualified in its entirety by reference to the full text of the Certificate of Correction, which is filed as Exhibit 3.1 hereto, and is incorporated herein by reference.
