ITEM 7.01.

Regulation FD Disclosure.

On December 2, 2020, Apartment Investment and Management Company (“Aimco”) issued a press release confirming that Aimco received a conditional

non-binding

indication of interest to purchase Aimco, and announced that Aimco’s Board of Directors unanimously determined the proposal was grossly inadequate and not in the best interest of Aimco and its stockholders, and that Aimco will proceed with the previously announced separation of Aimco and Apartment Income REIT Corp.

A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
