TRANSACTION STATEMENT
     This Transaction Statement on Schedule 13E-3 relates to the sale of property of VMS National Properties Joint Venture, an Illinois joint venture (the “Partnership”) which is described in the proxy statement-prospectus on Form S-4, filed contemporaneously with this Transaction Statement (the “Proxy Statement-Prospectus”), and constitutes the sale of substantially all of the assets of the Partnership. A copy of the Proxy Statement-Prospectus is filed with this Schedule 13E-3 as Exhibit (a)(1). The item numbers and responses thereto below are provided in accordance with the requirements of Schedule 13E-3.
