     This Amendment No. 28 (this “Amendment”) amends the Statement on Schedule 13D (as amended, the “Statement”) previously filed with the Securities and Exchange Commission by AIMCO Properties, L.P., AIMCO-GP, Inc., Apartment Investment and Management Company, AIMCO IPLP, L.P., AIMCO/IPT, Inc. and IPLP Acquisitions I, L.L.C. (collectively, the “Reporting Persons”).
Item 4. Purpose of Transaction.
     Item 4 is hereby amended by adding the following paragraphs:
NPI Equity Investments, Inc., a Florida corporation, is the general partner (the “General Partner”) of the issuer, National Property Investors 4, a California limited partnership (the “Partnership”). The General Partner is an affiliate of the Reporting Persons. The Partnership owns Village of Pennbrook Apartments (“Village of Pennbrook”), a 722-unit apartment complex located in Falls Township, Pennsylvania. On July 21, 2009, the Partnership entered into a Purchase and Sale Contract with a third party, Pennbrook Hatzlach, L.P., a Pennsylvania limited partnership (the “Purchaser”), to sell Village of Pennbrook to the Purchaser for a total sales price of $62,010,000. Village of Pennbrook is the Partnership’s last remaining property. Upon the completion of the sale of Village of Pennbrook and after the payment of the transaction related costs and other outstanding obligations of the Partnership, the Partnership will be dissolved and its affairs wound up in accordance with the terms of its partnership agreement.
