The reporting person obtained the shares of common stock upon the settlement of phantom stock units in connection with the reporting person's retirement from the Board of Directors of Mack-Cali Realty Corporation (the "Corporation"). The phantom stock units convert to shares of the Corporation's common stock, par value $0.01 per share (the "Common Stock"), on a one-for-one basis.
The reported amount does not include 25,000 shares of common stock beneficially owned by The David and Sondra Mack Foundation, Inc. (the "Foundation"), a charitable foundation of which the reporting person is a trustee. Pursuant to Rule 13d-4, the reporting person disclaims beneficial ownership of all of the shares of common stock beneficially owned by the Foundation.
Represents the cash-out of 0.700 fractional shares of Common Stock issued upon the settlement of 35,662.700 phantom stock units for 35,662 shares of Common Stock.
The phantom stock units were accrued under the Mack-Cali Realty Corporation Deferred Compensation Plan for Directors and are to be settled 100% in Mack-Cali Realty Corporation Common Stock upon the termination of the reporting person's service on the Board of Directors of Mack-Cali Realty Corporation or upon a change in control of Mack-Cali Realty Corporation.
Reported amount excludes 1,756,947 common units of limited partnership interest of Mack-Cali Realty, L.P. ("Common Units") directly beneficially owned by the reporting person. Reported amount also excludes 200,000 Common Units held by the Foundation. Pursuant to Rule 13d-4, the reporting person disclaims beneficial ownership of all of the Common Units held by the Foundation.
