On May 31, 2005, the Partnership distributed all of its remaining shares of the Issuer's common stock to its partners.  In connection with the distribution, the Reporting Person acquired direct beneficial ownership of 109,899 shares of the Issuer's common stock, all of which shares had previously been reported as being indirectly owned by the Reporting Person.</footnote>
