Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On November 8, 2019, Bryan K. Phillips, Senior Vice President, Legal, Human Resources and Information Technology, General Counsel and Secretary, of Surmodics, Inc. (the “Company”) notified the Company of his intention to resign from his positions with the Company. In order to assure an orderly transition of his responsibilities, Mr. Phillips will provide transitional services to the Company through December 20, 2019. Mr. Phillips’ resignation is not the result of any disagreement with the Company on any matter relating to its operations, policies or practices.
