Item 8.01                    Other Events.

            On June 5, 2007, SpectRx, Inc. and Abbott Laboratories, Inc. entered into a settlement and release thereby settling pending legal disputes.  As a result, SpectRx will drop its lawsuit and patent infringement claims against Abbott and Abbott will forgive approximately $5.6 million in debt it claimed was in default.  The disputes arose from a research, development and license agreement.  The development agreement was terminated in January 2003.  Under the settlement, neither party admitted any liability or wrongdoing.
