The GEO Group, Inc. (the “Company”) is unable to file, without unreasonable effort and expense, its Form 11-K for the fiscal year ended December 31, 2021 (the “Form 11-K”) due to staffing limitations and unanticipated delays, including an unexpected delay in obtaining access to the financial information relating to The GEO Save 401(k) Plan (the “Plan”) from the administrator of the Plan as a result of changes implemented by the administrator in connection with its acquisition of the prior plan administrator. The Company expects that the Form 11-K will be filed within the prescribed period provided by Rule 12b-25.
