Item 2.02 Results of Operations and Financial Condition.

On April 6, 2006, FelCor Lodging Trust Incorporated issued a press release reporting, among other things, that consolidated hotel revenue per available room, or RevPAR, increased approximately 15 percent in March and approximately 14 percent for the first quarter of 2006, compared to the same periods of 2005. A copy of the press release is included as an exhibit to this Current Report on Form 8-K. A copy of the press release is also available on FelCor Lodging Trust Incorporated’s website at www.felcor.com, on its Investor Relations page.
