Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On February 4, 2008, Mr. Jay Bauer informed The Singing Machine Company, Inc. (the “Company”) that he was resigning from his position as a member of the Board of Directors of the Company effective immediately. A copy of Mr. Bauer’s letter of resignation is attached hereto as Exhibit 99.1. Mr. Bauer did not resign as the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices. The Company’s Board of Directors has no immediate plans to appoint a replacement for Mr. Bauer.
