        On November 14, 2002, McHenry T. Tichenor, Jr., Chief Executive Officer, and Jeffrey T. Hinson, Chief Financial Officer, of Hispanic Broadcasting Corporation (the "Company"), submitted unqualified certifications to the SEC, relating to the Company's Quarterly Report on Form 10-Q for the quarter ended September 30, 2002, pursuant to 18 U.S.C. § 1350, adopted pursuant to Section 906 of the Sarbanes-Oxley Act of 2002.
