Item 5.02 Departure of Directors or Principal Officers; Election of Directors;
Appointment of Principal Officers

Effective June 21, 2006, Lee Evan Tabas notified Royal Bancshares of
Pennsylvania, Inc. that he was resigning from the Board of Directors to pursue
other interest.
