Annual Meeting 

On April 28, 2020, Truist Financial Corporation (“Truist” or the “Corporation”) held its 2020 Annual Meeting of Shareholders (the “Annual Meeting”). A total of 1,203,848,527 shares of Truist’s common stock were present or represented by proxy at the meeting. This represented approximately 89.5% of Truist’s 1,345,001,536 shares of common stock that were outstanding and entitled to vote at the Annual Meeting. At the Annual Meeting, Truist shareholders voted on four proposals and cast their votes as described below. The proposals are described in the Corporation’s 2020 Proxy Statement.
