Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(e)  On November 30, 2009, effective December 15, 2009, Heritage Oaks Bancorp (the “Company”) increased the base salary of Ronald Oliveira to $225,000 from his original base salary amount of $200,000.  Mr. Oliveira serves as the Executive Vice President / Chief Operating Officer / Chief Credit Officer of Heritage Oaks Bank, the wholly owned subsidiary of the Company.  All other terms of Mr. Oliveira’s compensation arrangement previously reported remain the same.
