ITEM 8.01 OTHER EVENTS

On December 18, 2008, Donald H. Campbell, Vice Chairman of Heritage Oaks Bancorp (Nasdaq: HEOP), parent company of Heritage Oaks Bank, amended his 10b5-1 Trading Plan (the “Plan”), originally entered into on June 19, 2008 and first amended on July 28, 2008 to delete the minimum sales price set forth in the original Plan. Mr. Campbell second amendment extends the termination date of the Plan originally scheduled to terminate on December 31, 2008 to terminate on June 30, 2009. No other terms of the Plan were changed.
