Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
     On August 15, 2005, the Board of Directors appointed a new member, Roger Hawley as a Class II director. Mr. Hawley has served as Vice President, Commercial and Technical Operations of InterMune Pharmaceuticals since July 2003. From October 2002 to July 2003, Mr. Hawley served as Chief Commercial Officer at Prometheus Laboratories, Inc., a specialty pharmaceutical company. From 2001 to 2002, Mr. Hawley served as Vice President/General Manager of Sales and Marketing at Elan Pharmaceuticals, Inc., a biopharmaceutical company. From 1987 to 2001, Mr. Hawley held various management positions in corporate finance, sales, and marketing at GlaxoSmithKline, Inc. Mr. Hawley holds a B.S. in accounting from Eastern Illinois University.
