Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 25, 2022, Karen L. Sedgwick provided notice that she will resign as a director of Southern California Gas Company (“SoCalGas”), a subsidiary of Sempra Energy, effective October 26, 2022. Also on October 25, 2022, the Board of Directors of SoCalGas appointed Diana L. Day, Deputy General Counsel of Sempra Energy, as a director of SoCalGas and a member of the SoCalGas Board’s Safety Committee, each effective October 26, 2022.
