ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT On February 4, 2005, Northfield Laboratories Inc. (the "Company") entered into an Underwriting Agreement with UBS Securities LLC, SG Cowen & Co. and Harris Nesbitt Corp., as representatives of the underwriters named in Schedule A thereto (the "Underwriting Agreement"), with respect to the offer and sale by the Company of 4,500,000 shares of common stock, par value $.01 per share (the "Common Stock"), at a price to the public of $15.00 per share. Under the terms of the Underwriting Agreement, the Company has granted the Underwriters an option, exercisable for 30 days, to purchase up to an additional 675,000 shares of Common Stock to cover over-allotments, if any. The offering of the Common Stock is being made pursuant to the Company's effective shelf registration statement on Form S-3 (Registration No. 333-121622) (the "Registration Statement"), including a related prospectus as supplemented by a Preliminary Prospectus Supplement dated January 19, 2005 and Prospectus Supplement dated February 4, 2005, which the Company filed with the Securities and Exchange Commission pursuant to Rule 424(b) under the Securities Act of 1933, as amended. A copy of the Underwriting Agreement is filed as Exhibit 1.1 to this Current Report, and the description of the material terms of the Underwriting Agreement is qualified in its entirety by reference to such exhibit. The opinion of counsel regarding the validity of the Common Stock to be issued pursuant to the offering is filed as Exhibit 5.1 hereto.
