To approve an Agreement and Plan of Reorganization between Touchstone High Yield Fund and Touchstone Active Bond Fund, each a series of Touchstone Variable Series Trust, providing for (i) the transfer of all of the assets of Touchstone High Yield Fund to Touchstone Active Bond Fund in exchange for shares of Touchstone Active Bond Fund and the assumption by Touchstone Active Bond Fund of all of the liabilities of Touchstone High Yield Fund; and (ii) the termination of Touchstone High Yield Fund subsequent to the distribution of shares of Touchstone Active Bond Fund to Touchstone High Yield Fund’s shareholders in complete liquidation of that Fund.
